TERMS AND CONDITIONS FOR THE SPECSAVERS NORTHERN EUROPE EYEWEAR DESIGN COMPETITION 2019

TERMS AND CONDITIONS FOR THE SPECSAVERS NORTHERN EUROPE EYEWEAR DESIGN COMPETITION 2019 (the “Competition”)
1. The competition will open on 9 am on Monday August 19th 2019 (“Opening Date”) and will close at midnight on Thursday October 24th 2019 (“Closing Date”). All entries received after the Closing Date are automatically disqualified.
2. To be eligible to enter the Competition, you must be a student on a Further Education or Higher Education course (part time or full time) in Denmark, Finland, Norway, Sweden or The Netherlands in any subject and at any level at the time of the Closing Date or have completed a Further Education or Higher Education course (part time or full time) in Denmark, Finland, Norway, Sweden or The Netherlands in any subject and at any level in 2017 or 2018 and be and will be resident in Denmark, Finland, Norway, Sweden or The Netherlands during the period August 19 2019 to December 31st 2020.
3. Entrants must be aged 18 or over by the Closing Date. No purchase is necessary.
4. The competition is not open to design professionals or to employees of Promoter or their families, agents and anyone else connected with this competition.
5. There will be up to six winners chosen. No group entries will be accepted.
6. In order to enter into the Competition, entrants must:
(a) design a minimum of two, and a maximum of six, spectacle designs in colour;
(b) name their new eyewear collection;
(c) create the spectacles designs in line with the Competition brief (the “Competition Brief”) which can be found on www.artsthread.com (the “artsthread Website”);
(d) register their details to create an account on the artsthread Website;
(e) upload the spectacle designs onto the artsthread Website. The artsthread Website has its own terms and conditions of use and each entrant should read these carefully); and
(f) be available to travel for interview (location to be decided at the sole discretion of Specsavers) on an agreed date between 11 November – 6 December 2019 if shortlisted.
(g) document their work process designing the frames with the help of photos or video
(collectively, the “Entry”).
Entrants should take into consideration the Competition Brief before submitting their Entry.
7. By submitting your Entry you agree to be bound by these terms and conditions.
8. No responsibility can be accepted by the Promoter for incorrectly uploaded entries or those that are illegible or corrupted or damaged or delayed in transit, regardless of cause, including, for example, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind. Proof of sending is not proof of receipt. Entries via agents or third parties are invalid and shall not be considered.
9. Entries will not be returned.
10. Each winner will receive a cash prize of €1,000 and may get the opportunity to have their design or designs manufactured and professionally photographed.
11. The prizes are non-transferable and no cash alternative will be offered to the winning entrants. However, if, at the sole discretion of the judges, none of the entries in any of the categories is of a sufficiently high standard to merit the awards, then runners up prizes may not be awarded.
12. Events may occur that render the design competition itself or the awarding of the prizes impossible due to reasons beyond the control of the Promoter. The Promoter may, at its absolute discretion, vary or amend the competition and the terms thereof and the winners agree that, in such event, no liability shall attach itself to the Promoter, provided that any substituted prize shall be of no lesser value.
13. The Competition shall be judged by a panel comprised of industry experts including representatives of the Promoter and an independent adjudicator (the “Panel”). The Panel shall select a shortlist of Entries (the “Shortlisted Entries”) and the creators of the Shortlisted Entries (the “Finalists”) shall be notified by 15 November 2019 by email or telephone.
14. The Entries shall be judged by the Panel on the basis of the criteria set out in the Competition Brief and such decisions will be final. No correspondence will be entered into.
15. The Finalists shall be invited to attend an interview with members of the Panel (location to be decided at the sole discretion of Specsavers) on an agreed date during 11 November – 6 December 2019 . The winners shall be selected and notified no later than 15th January 2020 by email or telephone.
16. [Specsavers will pay the reasonable travel expenses to the interview for the Finalists. All other expenses (including, but not limited to, upgrades, missed travel, meals and refreshments) shall be the responsibility of the Finalist.]
17. The winners agree to take part in reasonable publicity and to the use of their names, town or county of residence and photographs in such publicity.
18. By submitting your Entry you agree to keep your designs confidential and not to post them on any social media platform or otherwise display your entry prior to the announcement of the winners of the competition 20th January 2020. If you are a winner of the Competition you agree to continue to keep your designs confidential unless you have written approval of Specsavers to publish such designs.
19. By submitting the Entry, you hereby grant a worldwide, royalty free license to the Promoter to use of their entry for display on any and all Promoter-owned or third party media (including, without limitation, on the Promoter’s social media channels, websites and tangible media) without accreditation or notification.
20. By submitting your Entry, you acknowledge and agree that, if you win the Competition you automatically (upon winning) assign to the Promoter absolutely with full title guarantee all of your rights, title and interest in and to the design. Without limiting the generality of the foregoing, you agree that the Promoter and its licensees, successors, and assigns (collectively, the “Permitted Parties”) shall have the exclusive right to use and otherwise exploit the design, and any material based thereon or derived therefrom, together with any other materials, edited or altered as the Permitted Parties see fit, in any manner and in any media (whether now known or hereafter devised), throughout the universe in perpetuity, for advertising, trade, and any other lawful purpose. If any moral rights or similar right (including, without limitation, droit moral) arise anywhere in the world in respect of the design, you agree:
ι. to waive such rights in the Promoter’s favour;
ιι. not to assert such rights; and
ιιι. to exercise such rights against any third party only as the Promoter shall request and in accordance with the Promoter’s directions.
21. You also agree to promptly execute and deliver such documents and perform such acts as the Promoter may reasonably request for the purposes of confirming or giving full effect to the assignment granted under these terms and conditions.
22. By entering, you agree that your design is your own original work and does not infringe the intellectual property rights of any other party. In order to be selected as a verified winner, you will be required to sign a waiver to confirm that the design you submitted into the promotion is your own original work. If your submission is not your own work and we receive a claim from a third party who claims the design is their own, you agree that you will assist the Promoter to resolve this matter, and if necessary, satisfy any claims directly with that third party.
23. You agree to keep any information that Specsavers may disclose to you as part of the Competition confidential and shall not disclose or use such confidential information except for the purposes of the Competition.
24. The Promoter does not accept any responsibility if you are not able to take up the prize.
25. We will reject entries which in our reasonable opinion:
a. (a) contain any content that is likely to be considered offensive by us or could reflect negatively the name, reputation, or goodwill of the Promoter or any brand partner;
b. (b) include trademarks, logos, or copyrighted material not owned by you or used without the right holder's prior written permission (including famous names, company names, etc.);
c. (c) defames, misrepresents, or insult other people or companies, including, but not limited to the Promoter (including its partners);
d. (d) promotes any political agenda;
e. (e) contains religious images or references; and/or
f. (f) otherwise breaches the rules of this Competition.
26. After the Closing Date the Promoter may carry out verification checks to ensure the winners have fully complied with these terms and conditions before awarding the prizes.
27. The Promoter will send the name and county of the winner to anyone who writes to the (Specsavers, Stamholmen 153, 4 sal, 2650 Hvidovre, Denmark) by 31st January 2020 requesting details of the winner and who encloses a self-addressed envelope.
28. If, for reasons the Promoter can’t control, the prize is no longer available, we’ll offer you an alternative prize which will be of equal or greater value.
27. By entering the competition, you agree that any personal information provided by you with the competition entry may be held and used only by the Promoter or its agents and suppliers to administer the competition.
28. These terms and conditions are governed in accordance with the laws of Denmark, Finland, Norway, Sweden and the Netherlands and the courts of the same shall have exclusive jurisdiction to settle any claims arising out of or in connection with this promotion.
